FINANCING AND RELATED ADVICE
James Tanenbaum assists entrepreneurs and management teams in refining and articulating their business cases and business plans. As part of this effort, he works closely with companies to describe their respective businesses, growth strategies and financing plans. He helps to craft a capital raising plan that will be consistent with the company’s milestones and reflects anticipated value inflection points. 

Additionally, Jim helps management teams identify and engage financial intermediaries with expertise in the applicable sector that would be interested in assisting the company. Working with management, he helps to develop realistic financing timetables, negotiate fee structures for financial intermediaries and provide market context. After financing sources are identified, he provides a valuable sounding board, assisting management and the board of directors with evaluating the merits of proposals and, ultimately, assisting in the negotiation of term sheets with lead and other investors.  

Jim also helps management in negotiating with existing investors, whether in the context of a recapitalization or a new financing.

MANAGEMENT AND BOARD ADVICE
After 40 years of sitting in board rooms, Jim Tanenbaum has developed considerable insight into how to address issues of importance to boards of directors and how to advise both boards and management concerning their interactions. Among other things, he provides advice regarding:

  • Structuring appropriate boards for each phase in the life of a company;

  • Refreshing or restructuring boards of directors;

  • Counselling management concerning how best to interact with their boards of directors and tap into the skills and judgment of their directors effectively;

  • Implementing management changes; and

  • Effecting changes in corporate strategy.

PLANNING FOR AND IMPLEMENTING STRATEGIC TRANSACTIONS AND LIQUIDITY EVENTS
Jim Tanenbaum has been referred to as a tough and effective negotiator and advocate for his clients. In this context, he assists companies that are contemplating or undertaking a joint venture, strategic alliance, licensing or outsourcing transaction, acquisition, disposition or other organic change.
